1. Introduction and Acceptance

Welcome to Serat Media. These Terms of Service ("Terms") govern your use of our website, services, and equipment rentals. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms are governed by Dutch law and comply with applicable European Union regulations.

2. About Serat Media

Serat Media is a professional media production and infrastructure services company based in the Netherlands. We provide:

  • Media production services (filming, editing, post-production)
  • Lighting and sound equipment and services
  • Equipment rentals for media production
  • Custom software development solutions
  • Live streaming and broadcasting services
  • Technical consultation and support

3. Service Agreements

3.1 Service Contracts

All services are provided under separate service agreements that specify:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Specific terms and conditions for the project

3.2 Quotations and Estimates

All quotations are valid for 30 days unless otherwise specified. Estimates are provided in good faith but may be subject to change based on project requirements. Final pricing will be confirmed in the service agreement.

3.3 Changes to Scope

Any changes to the agreed scope of work must be documented in writing and may result in additional charges. We will provide written approval for scope changes before proceeding.

4. Equipment Rental Terms

4.1 Rental Agreements

Equipment rentals are subject to separate rental agreements that include:

  • Equipment specifications and condition
  • Rental period and return requirements
  • Rental fees and security deposits
  • Liability and insurance requirements

4.2 Equipment Condition and Care

Renters are responsible for:

  • Proper use and care of rented equipment
  • Returning equipment in the same condition as received
  • Reporting any damage or malfunction immediately
  • Covering costs for damage, loss, or theft

4.3 Security Deposits

Security deposits may be required for equipment rentals. Deposits will be returned within 14 days of equipment return, minus any deductions for damage or additional charges.

5. Payment Terms

5.1 Payment Schedule

Unless otherwise agreed in writing:

  • Equipment rentals: Payment due before equipment pickup
  • Services under €1,000: Payment due upon completion
  • Services over €1,000: 50% deposit required, balance due upon completion
  • Long-term projects: Payment schedule as specified in service agreement

5.2 Late Payments

Late payments may incur interest charges of 1% per month or the maximum allowed by Dutch law, whichever is lower. We reserve the right to suspend services for overdue accounts.

5.3 Taxes

All prices are exclusive of VAT and other applicable taxes unless otherwise stated. Clients are responsible for any applicable taxes.

6. Intellectual Property Rights

6.1 Client Content

Clients retain ownership of their original content, materials, and intellectual property provided to us for projects.

6.2 Work Product

Unless otherwise specified in the service agreement:

  • Final deliverables become the property of the client upon full payment
  • We retain the right to use work samples for portfolio and marketing purposes
  • We retain ownership of our methodologies, processes, and proprietary tools

6.3 Third-Party Materials

Clients are responsible for obtaining necessary licenses for third-party materials (music, stock footage, etc.) used in their projects.

7. Liability and Insurance

7.1 Limitation of Liability

Our liability is limited to the amount paid for the specific service or rental. We are not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the contract value
  • Force majeure events beyond our control

7.2 Insurance Requirements

For equipment rentals and on-location services, clients may be required to provide proof of adequate insurance coverage or purchase additional coverage through us.

7.3 Indemnification

Clients agree to indemnify us against claims arising from their use of our services or equipment, except for our gross negligence or willful misconduct.

8. Cancellation and Refund Policy

8.1 Service Cancellations

  • More than 48 hours before scheduled service: Full refund minus 10% administrative fee
  • 24-48 hours before scheduled service: 50% refund
  • Less than 24 hours before scheduled service: No refund

8.2 Equipment Rental Cancellations

  • More than 24 hours before pickup: Full refund minus 5% administrative fee
  • Less than 24 hours before pickup: 50% refund
  • No-show: No refund

8.3 Weather and Force Majeure

Services cancelled due to weather or force majeure events will be rescheduled without penalty or refunded in full.

9. Privacy and Data Protection

We are committed to protecting your privacy and personal data in accordance with GDPR and Dutch privacy laws. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your personal information.

10. Website Use and Restrictions

10.1 Permitted Use

You may use our website for legitimate business purposes related to our services. You agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality or security
  • Copy, reproduce, or distribute our content without permission
  • Use automated systems to access or scrape our website

10.2 Content Accuracy

While we strive to keep our website information accurate and up-to-date, we make no warranties about the completeness or accuracy of the content.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Dutch law. Any disputes will be subject to the exclusive jurisdiction of Dutch courts.

11.2 Mediation

Before pursuing legal action, parties agree to attempt resolution through mediation with a qualified mediator in the Netherlands.

11.3 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under Dutch or EU law.

12. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, extreme weather conditions
  • Government actions, regulations, or restrictions
  • Labor strikes or disputes
  • Technical failures or cyber attacks
  • Pandemic or health emergencies
  • Supply chain disruptions

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms. We will notify clients of material changes via email when possible.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

By using our services or website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute the entire agreement between you and Serat Media regarding the use of our services, unless superseded by a specific service agreement.
